Detailed Rationale

CRISIL Ratings has revised its rating outlook on the long-term bank facilities of Renew Saur Urja Private Limited (part of the Renew Power group) to 'Stable’ from ‘Negative’ and reaffirmed the rating at 'CRISIL A+'.

 

The outlook revision factors in the possibility of higher-than-expected cash flows because of sustained improvement in receivables on the back of implementation of the LPS (late payment surcharge) scheme. It also benefits from the financial flexibility that is expected to accrue to the Renew Power group from Canada Pension Plan Investment Board (CPPIB, rated AAA/Stable by S&P Global Ratings). Earlier this year, CPPIB increased its stake to controlling interest to ~52% (economic shareholding) from ~20.6% in Renew Energy Global PLC (holding company of Renew Power Pvt Ltd [Renew Power]).

 

The outlook revision to Stable is despite the delayed traction in leverage[1] reduction of the group. Leverage, which was expected to fall below 7 times, improved only marginally to 7.7 times[2] as on March 31, 2023, from 8.0 times as on March 31, 2022, on account of weaker-than-expected operating performance of the wind portfolio and lower capital expenditure (capex) because of lower-than-expected commissioning. Leverage is expected to improve in fiscal 2024 on the back of expected increase in revenue from capacities being commissioned (from under-implementation pipeline of 5.3 gigawatt [GW] as of June 2023), ongoing improvement in receivables and other steps being taken by the management, such as targeted divestments and better operational performance.

 

The rating reflects the group’s strong market position as one of the largest renewable energy players in India. It has a well-diversified asset base both in terms of location as well as counterparty; and healthy revenue visibility of majority of the assets, driven by long-term power purchase agreements (PPAs) at pre-determined tariffs. The rating also factors in the healthy financial flexibility and liquidity. These strengths are partially offset by average financial risk profile, exposure to project implementation risk, and to risks inherent in operating renewable energy assets.

Analytical Approach

CRISIL Ratings has combined the business and financial risk profiles of Renew Power and all its special-purpose vehicles (SPVs) as all the companies, collectively referred to as the Renew Power group, have significant business, financial and managerial linkages, are in the same business, and have common management and treasury teams. Renew Power has an established track record of supporting group entities, and has articulated continued support to them. Please see Annexure – List of entities consolidated, which captures the list of entities considered as part of the Renew Power group (based on March 2023 annual report).

 

The credit profiles of the operational and stabilised assets reflect the credit profile of the group, whereas those of assets under-construction or having weaker operational/receivables profile are relatively below average.

 

RWERP is part of a restricted group (RG) comprising eight SPVs as co-borrowers. The other seven SPVS are Renew Wind Energy (Devgarh) Pvt Ltd, Rajat Renewables Ltd, Renew Solar Energy (Telangana) Pvt Ltd, Renew Saur Urja Pvt Ltd, Kanak Renewables Ltd, Renew Clean Energy Pvt Ltd and Renew Wind Energy (Budh 3) Pvt Ltd. However, the rating of RWERP is driven from it being a part of the Renew Power group. The credit profiles of RWERP and other SPVs in the RG do not get comfort from being present within the RG

Key Rating Drivers & Detailed Description

Strengths:

Benefits derived from being part of the Renew Power group

All the SPVs are likely to receive strong managerial and financial support from the Renew Power group. The management extends support towards project debt in the initial stages of implementation and stabilisation, and provides financial support in case of any cash flow mismatches after commissioning of the project. The group is expected to maintain adequate liquidity to meet any exigency across the portfolio. Any change in the support philosophy will be a key rating sensitivity factor.

 

As a majority shareholder with board representation, CPPIB participates in discussions on business strategy, key operational matters, senior management, board evaluation and overall funding plans.

 

Strong market position of the group driven by diversity in asset portfolio and revenue visibility

The robust market position is driven by size, diversity, vintage, and healthy revenue visibility of the asset portfolio. The Renew Power group is one of the largest renewable energy players in India, with a portfolio of 13.7 GW (including capacity under construction and under development), with a commissioned capacity of around 8.0 GW as of March 2023 comprising 50% wind, 49% solar and 1% hydro projects.  The group portfolio is also diversified in terms of location and counterparty, with assets in Gujarat, Rajasthan, Madhya Pradesh, Maharashtra, Tamil Nadu, Andhra Pradesh, Telangana, Uttar Pradesh, Uttarakhand, and Karnataka. The assets have strong revenue visibility, with most of the portfolio tied up in PPAs of 25 years at pre-determined tariffs with over 15 state and central counterparties.

 

Healthy financial flexibility through support from strong investors and liquidity

The group has an established track record of raising funds in the debt and capital markets, both in India and abroad. In the past, the group raised equity funds from marquee investors, including Goldman Sachs and CPPIB, Abu Dhabi Investment Authority, and JERA Power, many of whom have infused capital in progressive rounds too. Furthermore, the group got listed on the NASDAQ in August 2021, which enhanced access to international debt and equity capital markets to fund growth plans.

 

Financial flexibility is supported further with CPPIB becoming the major shareholder and investor of Renew Energy Global PLC. The group is expected to benefit from strategic oversight from the long-term investment horizon of CPPIB.

 

The group has healthy liquidity through fund-based working capital limit of more than Rs 2,000 crore as of March 2023, which can be used across portfolio. It also has a track record of maintaining free cash balance. Additionally, the group is expected to maintain a liquidity buffer (unencumbered across the group) of over Rs 2,000 crore, apart from project level debt service reserve accounts (DSRAs). 

 

Weakness:

Average financial risk profile due to high capex intensity and weak operational performance

Gross debt to Ebitda[3] ratio was 7.7 times as on March 31, 2023, against 8.0 times previous fiscal due to improvement in receivables cycle. Overall, expected reduction in leverage has been delayed on account of higher-than-expected capex and weak operational performance (especially in the wind portfolio). However, the debt coverage of project-level borrowings has remained in line with the CRISIL Ratings expectations, with blended average debt service coverage ratio of around 1.29 times[4].

Moreover, there may be a delay in leverage correction in the next fiscal due to high capex planned. However, sustained increase in leverage will be a rating sensitivity factor.

 

Susceptibility to implementation risk for under-construction projects

The group remains exposed to implementation risks for its under-construction project pipeline of 5.3 GW as of June 2023. The group is also diversifying into the solar cell and module manufacturing and transmission business, although the quantum of capex towards such diversification is only about 10% of the overall capex planned currently. Timely commissioning of such capacities and subsequent stabilisation will remain key monitorables.

 

Exposure to risks inherent in operating renewable assets

Cash flows of renewable power projects are sensitive to plant load factor (PLF), which depends entirely on the wind and solar patterns that are inherently unpredictable. While the combined portfolio (solar and wind) continues to underperform in comparison to P90 levels due to underperformance in wind projects (industry-wide phenomenon), the delta is decreasing year-on-year. Delay in improvement in portfolio performance with respect to P90 projections will be a key monitorable.

Furthermore, the CRISIL Ratings-sensitised projections of cash flows are at a weighted average P90 plant load factor (PLF) for operational wind and solar portfolios.

Liquidity: Adequate

Liquidity is driven by cash accrual of over Rs 2,500 crore in fiscal 2024, and free cash of over Rs 6,000 crore as of March 2023. The group also has sufficient liquidity to cover equity requirement for capex in fiscals 2024 and 2025. CRISIL Ratings understands that bulk of the debt obligation will be funded through refinancing with longer tenure debt instruments (bullet payments for projects having long life and PPAs tied up).

 

All operational project SPVs have DSRAs of obligations for 1-2 quarters (maintained as a combination of bank guarantee and cash). The group will maintain minimum liquidity buffer of Rs 2,000 crore (unencumbered across group) and has fund-based working capital limit of over Rs 2,000 crore at the holding company for support across the portfolio.

Outlook: Stable

CRISIL Ratings expects the credit profile of the Renew Power group entities to remain stable, driven by an ensuing correction in net debt/Ebitda and stabilisation of under-construction projects.

RSUPL has a cumulative solar power capacity of 100 MW with projects located in Karnataka with private third parties being the buyer for the entire project capacity.

 

The Renew Power group is the largest player in the Indian renewable energy space, with an operational portfolio of more than 8 GW. It was established in 2011 by Mr Sumant Sinha. It has a range of solar and wind assets in Gujarat, Rajasthan, Maharashtra, Karnataka, Andhra Pradesh, Telangana, Madhya Pradesh, Uttar Pradesh, and Tamil Nadu.
