Detailed Rationale

Crisil Ratings has withdrawn its ratings on the bank facilities and debt instruments of Tata Motors Finance Ltd (TMFL) pursuant to merger of TMFL with Tata Capital Ltd (TCL) w.e.f. May 08, 2025, post requisite approvals from shareholders, statutory/regulatory authorities and as sanctioned by the National Company Law Tribunal, Mumbai Bench. Post merger, TMFL ceases to exist. The rating action follows receipt of the required documentation, in line with Crisil Ratings’ policy on withdrawal of ratings. Furthermore, Crisil Ratings has transferred these facilities to TCL upon receipt of the letter of novation.

 

Consequent to redemption, CRISIL Ratings has withdrawn its rating on perpetual bonds of Rs 460 crore (See Annexure 'Details of Rating Withdrawn' for details) in line with its withdrawal policy. CRISIL Ratings has received independent confirmation that these instruments are fully redeemed and hence not transferred to TCL.

About the Company

TMFL was a non-deposit-taking systematically important, non-banking financial company and a wholly owned subsidiary of TMFHL. TMFL was engaged in new vehicle financing, pre-owned vehicle financing and extending loans to dealers and vendors within the TML ecosystem. As on December 31, 2024, TMFL’s standalone assets under management (AUM) stood at Rs 36,515 crore. For fiscal 2024, net profit was Rs 52 crore on total income (net of interest expenses) of Rs 2,509 crore.

TCL is the holding company for the financial services businesses of the Tata Capital group and is registered with the Reserve Bank of India as a systemically important, non-deposit-taking, Core Investment Company. TCL has a diversified product portfolio, with presence in both the wholesale and retail finance segments. Its consolidated AUM was Rs 2,21,950 crore as on March 31, 2025, against Rs 1,58,479 crore a year ago.
